Terms of Service

These terms govern your use of CleanDesk. By creating an account or using the service, you agree to them. If you’re agreeing on behalf of a company, you confirm you’re authorised to bind it.

1. The service

CleanDesk is software that helps you build, validate, and maintain your DORA Register of Information and related records. It is a tool to help you prepare accurate filings.

2. Not legal or regulatory advice

You remain solely responsible for your regulatory obligations and for the accuracy and submission of your filings. Validation results are decision-support, not a guarantee that a regulator will accept your register.

3. Accounts & eligibility

You must provide accurate information, keep your credentials secure, and be responsible for activity under your account. The service is for business use by regulated firms and their advisers.

4. Subscriptions & fees

Paid plans are billed [annually/monthly] in advance at the rates shown at purchase. Fees are non-refundable except where required by law. We may change pricing on renewal with reasonable notice.

5. Acceptable use

Don’t misuse the service: no unlawful use, no attempts to breach security or access others’ data, no reverse engineering, and no uploading of content you’re not entitled to share.

6. Your data

You retain ownership of the data you upload. You grant us a limited licence to process it solely to provide the service. Our handling of personal data is described in our Privacy Policy, and a data-processing agreement is available on request.

7. Intellectual property

CleanDesk, including its software, templates, and validation logic, is our property and is protected by intellectual-property law. We grant you a non-exclusive, non-transferable right to use it for your business during your subscription.

8. Confidentiality

Each party will protect the other’s confidential information and use it only as needed to perform under these terms.

9. Disclaimers

The service is provided “as is” and “as available”, without warranties of any kind to the fullest extent permitted by law. We don’t warrant that the service will be uninterrupted, error-free, or that any filing will be accepted by a regulator.

10. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect or consequential loss, and our total liability is limited to the fees you paid in the [12] months before the claim. Nothing limits liability that cannot be limited by law.

11. Indemnity

You agree to indemnify us against claims arising from your unlawful use of the service or breach of these terms.

12. Term & termination

Either party may terminate for material breach not cured within [30] days, or at the end of a subscription term. On termination you can export your data for [30] days, after which we may delete it.

13. Governing law

These terms are governed by the laws of [Ireland], and the courts of [Ireland] have exclusive jurisdiction, without prejudice to mandatory consumer protections.

14. Changes

We may update these terms and will post the new version here. Continued use after changes take effect means you accept them.
